These Terms of Use apply to this website and all other websites owned and/or operated by CityPost Asia Pte Ltd (“CityPost”), and also apply to the various services, including advertisements, advertiser(s) and all information, communications, links, software, enewsletters, forums, shopping services, search services, personalised content, products, services, other materials and any and all other services that may be added, offered or provided to you from time to time through such websites (collectively, the “Service”).

By accessing as a public viewer, browsing or as an Advertiser(s) using the Service, you agree to be legally bound by these terms. You represent and warrant that you are either at least 21 years of age or if you are below 21 years, you have obtained the consent of your parent/legal guardian, to use and access the Service and to be bound by these terms.

These Terms of Use may be revised from time to time. Your continued use of the Service shall be deemed and construed as your conclusive and binding acceptance of the revised terms.

In addition, particular service(s) added, offered or provided to you through the Service, may be subject to additional guidelines and/or rules imposed by “CityPost” from time to time. In such event, all such guidelines and/or rules shall be deemed incorporated in these Terms of Use by reference. “CityPost” may also offer other services on the Service that are governed by different terms of service or terms of use. As Public viewer(s) or Advertiser(s).. You expressly agree that your use of the Service is at your sole risk and that the Service is provided on an “AS IS WHERE IS” basis. “CityPost” makes no representation or warranty, whether express or implied (to the extent permitted by law) : (a) as to the use, security, accuracy, reliability, non-infringement, satisfactory quality or fitness for any particular purpose of the Service or of any content available on or through the Service; or (b) that the use of the Service will be uninterrupted, without error, secure or free of any viruses or bugs; or (c) that any products, services, information or other material purchased or obtained by you on or through the Service will meet your expectations.

In no event shall “CityPost” or any of its affiliates or related corporations be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data or other intangible losses (even if “CityPost” has been advised of the possibility of such damages), resulting from or in connection with (i) the use of or inability to use the Service or any interruptions or delays; (ii) any communication line failure, or bugs, viruses, trojan horses or other harmful elements which may be transmitted to or through the Service; (iii) any errors or omissions in any content or any loss or damage of any kind incurred as a result of the use of or reliance on any content posted, emailed, transmitted or otherwise made available on or through the Service; (iv) any loss or damage of any kind incurred as a result of any goods, information or services purchased or obtained or transactions entered into through or from the Service; (v) any breach of intellectual property or defamation; or (vi) any other matter relating to the Service; whether based on warranty, contract, tort or any other cause of action, and whether or not “CityPost” is advised of the possibility of such damages. You will need to make your own independent judgment regarding your interaction with these third-party sites or services. “CityPost”’s inclusion of advertisements for, or links to, a third-party site or service does not constitute an endorsement. Intellectual Propety

All content and materials on the Service are the exclusive property of “CityPost” or its content suppliers, and may be viewed, downloaded or printed for your own personal and non-commercial use only. All copyright notices on downloaded or printed material must be retained. Save as specifically permitted here, you may not copy, reproduce, distribute, republish, repost, modify, transmit, make available to the public, adapt, create a derivative work or otherwise use or exploit any content on the Service in any way or for any purpose. Submission of Contributions

“CityPost” may provide facilities on the Service to permit you to submit any contribution (including but not limited to any text, graphics, video and/or audio content, advertisements, and other materials or information in any media or format) (“Submissions”) to “CityPost” or to the Service directly. You are solely responsible for your own Submissions and for all consequences of distribution or publishing the Submissions on the Service; “CityPost” only acts as a passive conduit for the online distribution and publication of your Submissions.

By submitting your Submissions, you agree and undertake as follows :-

You as Public Individual or Advertiser(s) - you will not include any content in your Submissions that is or could be unlawful, defamatory, offensive, obscene, dangerous, false, or any content that is protected by copyright or other intellectual property right or any other third party rights (including privacy and publicity rights), without first obtaining permission of the rights-owner, or any content that contains any viruses, bugs or other harmful elements;

You as Public Individual or Advertiser(s) - you hereby grant to “CityPost” a perpetual, worldwide, irrevocable, non-exclusive, royalty-free, sub-licensable and transferable right and licence to use, reproduce, distribute, publish, post, modify, transmit, broadcast, make available to the public, adapt, create a derivative work or otherwise use or exploit your Submissions in any way or for any purpose in any media and for any purpose;

You as Public Individual or Advertiser(s) - you will not assume a false identity or the identity of another user when using the Service, and you will not use the Service for any unlawful or illegal activities, including but not limited to spamming, harassing or otherwise causing distress to other users;

You as Public Individual or Advertiser(s) - you will defend, indemnify and hold harmless “CityPost”, its affiliates and related corporations from and against any and all claims, losses, damages, costs and expenses, including legal fees on an indemnity basis, arising out of or in connection with your Submissions.

“CityPost” does not endorse any Submission and hereby expressly disclaims any and all liability in connection with the Submissions. “CityPost” shall have the right, but not the obligation, to monitor the Submissions contributed to the Service, including chat rooms and forums. “CityPost” shall have the right to remove, delete or refuse to post any material that “CityPost”, in its sole discretion, finds to be in violation of these terms or otherwise objectionable or inappropriate without having to assign any reason therefore

Personal or Business Information

You as an individual or a business Advertiser - You may be asked to create a user account for the access of certain features on the Service. You hereby warrant that all information provided in the creation of such account is complete and accurate. You are responsible for any and all activity that occurs on your account and you are solely responsible for ensuring the security of your account. You agree to be liable for any and all loss or damage which may be caused to or incurred by “CityPost” resulting from any authorised or unauthorised use of your account. “CityPost” will not be liable for any loss or damage caused by any unauthorised use of your account.

To provide goods and services by “CityPost” or its designated representatives and/or business partners to you or parties designated by you and matters ancillary thereto.

For verification and record of your personal particulars including comparing it with information from other sources and using the information to communicate with you.

Your dealings or transactions with other users or advertisers found on or through the Service, including payment and delivery of related goods or services, and any terms, conditions, warranties or representations in relation thereto, are solely between you and such user or advertiser and “CityPost” shall not be responsible or liable for any loss or damage as a result of such dealings or transactions.

You agree to defend, indemnify and hold harmless “CityPost”, its affiliates and related corporations from and against any and all claims, losses, damages, costs and expenses, including legal fees on an indemnity basis, arising out of or in connection with (i) your access or use of the Service; (ii) any breach of these terms; or (iii) any infringement of any third party rights. In addition, “CityPost” may use whatever information that is available about you to stop any such breach or any unlawful or inappropriate use of the Service, including informing any third party “CityPost” deems appropriate of such breach or use and/or disclosing your personal information to such third party.

If any of these terms is held to be invalid or unenforceable, such term shall be struck out and the remaining terms shall be enforced. Any failure to act by “CityPost” with respect to any breach by you or others of any of the provisions of these terms and conditions does not waive “CityPost”’s right to act with respect to subsequent or similar breaches.

You agree that “CityPost” may (but shall not be obliged to) send you notices, including those regarding changes to these terms or the Service, by email, regular mail, postings on the Service or any other mode of communication as “CityPost” deems appropriate.

You hereby agree and acknowledge :-

that all electronic communications or hardcopy publication print made pursuant to the use of this Service shall be given legal effect, validity and enforceability and shall have, between the parties thereto, comparable evidential value to that accorded to a signed written document;

not to contest the legally binding nature, validity or enforceability of any transaction on the Service on the ground that it was entered into electronically.

These terms shall be governed by Singapore laws and any dispute arising out of the use of the Service shall be referred to the Singapore courts. You agree to submit to the exclusive jurisdiction of the Singapore courts.

GENERAL TERMS OF USE
